Electricité de France S.A.: Takeover (Updated 09 February 2023)

Update as of 09 February 2023

In a statement dated 08 February 2023, the French Financial Markets Authority (AMF) announced the result of the simplified offer by the French State to the shareholders of Electricité de France. The offer was closed on 03 February 2023. Settlement of the offer will take place pursuant to the timetable communicated by Euronext Paris.

Accordingly, as described in Corporate Action Info 001 and 002 and pursuant to the Contract Specifications for Futures Contracts and Options Contracts at Eurex Deutschland, existing positions will be settled at the theoretical fair value. Reference price for the calculation of the fair values is the tender offer price of EUR 12.00 per share.

The settlement prices of options and futures contracts with open interest are given in the tables in the Info 003 pdf documents. On 09 January 2023, all participants with open positions will receive an information containing an overview of their respective open positions. Resulting cash balances will be booked on 09 February 2023, with value date 10 February 2023. In the end-of-day processing on 10 February 2023, open positions will be booked out, effective 13 February 2023.

Trading in the above-mentioned contracts has been discontinued after market close on 08 February 2023


Update as of 31 January 2023

Following an announcement by the French Financial Markets Authority AMF dated 25 January 2023, the takeover offer for the shares of the company EDF SA will close on 3 February 2023. Provided that the offer becomes effective, trading in the affected Eurex-listed contracts on EDF will discontinue with immediate effect. Any open positions in the affected contracts will be settled using the fair value settlement method as described in Corporate Action Information dated 21 July 2022.

Please note that exercise instructions in options on EDF can only be submitted until 02 February 2023. From 03 February 2023 until the publication of the offer result no exercising will be allowed.

In a media release dated 19 July 2022, the French Ministry in charge announced that the French State would fully acquire the company EDF SA via a simplified public tender offer to the shareholders of the company at a price of EUR 12.00 per share. Further to the announcement, the French State is to trigger a squeeze-out procedure following the completion of the offer.
